General sale terms
1. General
The General Sale Terms are an integral part of the sales transactions. Terms that deviate from conflict with the general terms and conditions of sale are only recognized if they are contractually in any other written manner, Alpmetal & CO, d.o.o. Selca (hereinafter Alpmetal & CO) expressly agrees. The delivery and purchase conditions of the client are binding for Alpmetal & CO only if they were attached to the order and Alpmetal & CO has explicitly agreed with their content.
2. Price and payment terms
The prices stated on the order confirmation apply to an individual sales transaction. The obligation falls due within the deadlines set on the invoices issued. For late payment, Alpmetal & CO reserves the right to charge statutory default interest from the date of the delay until the actual payment.
3. Supply of goods
The delivery time is stated on the order confirmation. In cases of force majeure, production delays, machine breakdowns or other extraordinary events, Alpmetal & CO reserves the right to extend delivery times for the duration of the extraordinary event. The buyer is obliged to take over the goods no later than 3 working days after receiving the notification that the goods are ready for collection, unless the deadline for taking over the goods has been agreed in writing. In the event of the buyer's delay in receiving the goods, the responsibility for any damage to the goods or reduction of its value passes to the buyer.
4. Reservation of the right of property
The delivered goods remain the property of Alpmetal & CO until full repayment. In the event of processing, treatment, merging or mixing, Alpmetal & CO remains the owner of the relevant share of the newly designed goods until the final one. In the event of resale, the buyer of the goods assigns in advance all receivables arising from resale to Alpmetal & CO until final payment.
5. Responsibility
Alpmetal & CO guarantees that the delivered goods are free of defects and in accordance with the specification on the order and the order confirmation. In case of deviation from the agreed quantity or quality, he undertakes to replace or repair the advertised goods. Alpmetal & CO is not liable for damages due to loss of production, loss of profit, loss of business interest and costs related to resolving complaints. In any case, the liability is limited to the value of the advertised goods.
6. Other provisions
Alpmetal & CO is entitled to correct obvious errors in sales documents (eg when typing, calculating). The buyer accepts these general terms and conditions of sale by confirming the offer or by placing an order.
7. Jurisdiction
All possible disputes arising from the mutual contractual relationship shall be resolved consensually. In the event that the dispute cannot be resolved consensually, the District Court in Kranj is competent to resolve the dispute.
